What Is Your Marketing Agency Actually Worth? (And the 3 Levers That Change It)

Most agency founders only find out what their business is actually worth when an acquirer makes an underwhelming offer—or when an M&A broker charges thousands just to give them an opinion.

Worse still, founders often anchor to rule-of-thumb gossip they hear at industry dinners: “Agency X sold for 2x revenue” or “You should expect an 8x EBITDA multiple.”

In the real world of UK agency M&A, those generalisations are plain dangerous.

Buyers don’t buy headline revenue (especially if pass-through media or production spend artificially inflates it). And two agencies with the exact same £500k EBITDA can receive vastly different valuations depending on whether that profit is tied to three clients, a founder’s personal relationships, or long-term retained contracts.

To take the guesswork out of the process, I built an interactive Agency Valuation Calculator as part of our free Toolkit.

Here is how the maths actually works, what buyers look for today, and the three levers that move the needle.

1. Revenue is vanity, Fee Income is sanity

The starting point for any real agency valuation isn’t gross turnover—it is Gross Fee Income (revenue minus pass-through costs like paid media spend, freelance subcontractors, and third-party production).

If you bill £4m a year but £2.5m goes straight to Google and Meta, you are running a £1.5m agency, not a £4m one. Acquirers price on fee income and the adjusted EBITDA you generate from that fee income.

In a healthy independent agency, adjusted EBITDA typically sits between 15% and 25% of fee income. Anything under 12% is seen as tight; anything sustainably above 25% commands serious attention.

2. Not all agency disciplines trade at the same multiple

Buyer appetite changes. What commanded a 7x multiple five years ago might trade at 4x today, while high-demand capabilities attract genuine acquisition premiums:

3. The 3 Levers that actually increase your multiple

When buyers assess risk, they adjust your EBITDA multiple up or down based on three structural factors:

  1. Retained & Recurring Revenue: If 70%+ of your fee income is on rolling retainers with low churn, you have predictability. If you rely on one-off pitches and project fees, acquirers view you as risky.

  2. Client Concentration: If your largest client represents more than 20% to 25% of your total fee income, any buyer will price in the catastrophe scenario of that client walking out the door.

  3. Founder Autonomy: Can you take a four-week holiday without the agency stalling? If you personally hold the key client relationships or pitch every deal, the acquirer is buying you, not a business. Agencies with autonomous second-tier management teams command substantial valuation premiums.

In my calculator, the “What-If” sliders show you the exact financial difference in pounds. Shifting 15% of your income from project to retainer, or stepping back from day-to-day delivery, often adds hundreds of thousands of pounds to an exit value without needing a single pound of new top-line revenue.

4. The cash-versus-earnout reality check

One of the biggest misconceptions in agency sales is the idea of “walking away with a cheque on completion day.”

Clean, 100% upfront cash deals are exceptionally rare for agencies under £10m enterprise value. Most deals involve:

If a buyer offers you a £4m headline valuation, but £2m is locked inside an earn-out with unrealistic growth targets, that is not a £4m deal. Understanding this structure early gives you the leverage to negotiate realistic targets—or to build a business so clean that buyers compete to offer better cash terms upfront.
